Terms of Service

Effective date: March 5, 2026. These terms govern access to Saturn Cortex platform services and related enterprise deployments.

1. Service scope

Saturn Cortex, Inc. (a Delaware corporation headquartered in the United States) provides autonomous coding agents that assist with software engineering workflows through repository integrations, automated task execution, and pull request outputs. Service availability and feature access depend on your selected subscription plan and the applicable order form or other written agreement (each, an “Order”).

2. Customer responsibilities

  • Maintain authorized access controls for connected repositories, cloud resources, and development systems.
  • Review and approve or reject generated pull requests and other outputs before deployment or production use.
  • Configure internal policies and guardrails so platform behavior aligns with your security, compliance, and coding standards.
  • Ensure that all use of the service by your end users complies with these Terms and applicable U.S. and international law.

3. Acceptable use

You agree not to use the platform for any activity that is unlawful under U.S. law, including export control and sanctions regimes, or that is reasonably likely to harm Saturn Cortex, our infrastructure, or third parties. Prohibited uses include attempting unauthorized system access, generating or distributing malicious code, or using the service in connection with high-risk activities where failure could lead to serious bodily injury or property damage. Saturn Cortex may suspend or terminate access for violations that create security, legal, or operational risk.

4. Billing, taxes, and renewal

Subscription fees, usage charges, and enterprise license terms are defined in your Order. Unless otherwise specified in the Order, subscriptions renew automatically for successive terms, and fees are due in U.S. dollars. You are responsible for any sales, use, VAT, GST, or similar taxes (other than taxes based on Saturn Cortex’s net income) that arise from your purchase or use of the services.

5. Warranty, disclaimers, and limitation of liability

The services are provided “as is” and “as available,” and, to the maximum extent permitted under applicable U.S. law, Saturn Cortex disclaims all warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non‑infringement. To the extent permitted by law, Saturn Cortex’s aggregate liability arising out of or related to the services will not exceed the amounts paid by you to Saturn Cortex for the services that gave rise to the claim during the twelve (12) months immediately preceding the event giving rise to the claim, and Saturn Cortex will not be liable for any consequential, incidental, special, or punitive damages.

6. Governing law, jurisdiction, and contact

These Terms are governed by the laws of the State of Delaware and the United States of America, without regard to conflict of law principles. Any dispute arising out of or relating to the services that is not resolved informally will be brought exclusively in the state or federal courts located in Delaware, and each party consents to the personal jurisdiction and venue of those courts.
